Welcome to Corvii. These Terms and Conditions ("Terms") govern your access to and use of the Corvii website, applications, and services (collectively, the "Service"). The Service is operated by Corvii ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. The Service

Corvii provides a digital platform designed for business management, including CRM, invoicing, HR, projects, and related tools. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including features, databases, or content, with or without notice.

3. Eligibility and Account Registration

Eligibility: You must be at least 18 years of age to use this Service. By creating an account, you represent and warrant that you have the legal capacity to enter into a binding contract.

Registration: To access certain features, you must register for an account. You agree to provide accurate, current, and complete information.

Account Security: You are responsible for safeguarding your password and for any activities or actions under your account. You must notify us immediately at support@corvii.app upon becoming aware of any breach of security or unauthorized use of your account.

4. Subscription Plans

We offer two primary subscription tiers:

• Solo Plan: $15/month. Limited to one (1) registered user.
• Team Plan: $25/month. Includes unlimited users within a single organizational entity.

Prices are subject to change; however, any price changes will be communicated to you in advance and will apply to the next billing cycle.

5. Payment and Billing

Merchant of Record: All payments are processed by Paddle, our Merchant of Record. By subscribing, you agree to Paddle's terms and conditions in addition to these Terms.

Billing Cycle: Subscriptions are billed on a recurring monthly basis starting from the date of your initial purchase.

Taxes: All fees are exclusive of applicable taxes (such as VAT), which will be calculated and charged by Paddle based on your location.

6. Cancellation and Refunds

Cancel Anytime: You may cancel your subscription at any time through your account settings or by contacting Paddle support.

No Partial Refunds: Upon cancellation, your access will remain active until the end of the current billing period. We do not provide refunds or credits for any partial-month subscription periods or unused accounts.

7. Acceptable Use

You agree not to use the Service to:

• Violate any local, national, or international laws.
• Transmit any viruses, malware, or malicious code.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Engage in data mining, robots, or similar data gathering and extraction tools.
• Reverse engineer or decompile any part of the Service.

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Corvii and its licensors. Our trademarks, logos, and service marks may not be used in connection with any product or service without our prior written consent.

9. Your Data

Ownership: You retain all rights to the data, information, or material that you submit to the Service ("Your Data").

License to Us: You grant us a worldwide, non-exclusive, royalty-free license to host, copy, and transmit Your Data solely for the purpose of providing the Service to you.

To the maximum extent permitted by law, Corvii shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, resulting from:

• Your access to or use of the Service.
• Any conduct or content of any third party on the Service.
• Unauthorized access, use, or alteration of your transmissions or data.

12. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.

13. Service Availability

While we strive for 24/7 availability, we do not guarantee that the Service will always be available or uninterrupted. We may need to perform scheduled or emergency maintenance which may result in temporary downtime.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

15. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms.
